

Directors
A MAT is a charitable company and so trustees are both charity trustees and company directors. However, the terms ‘trustees’ and ‘directors’ are often used to describe the same role. At NCDAT we refer to our trustees as Directors.
The Directors are responsible for the general control and management of the Trust, and in accordance with the provisions set out in the articles of association, memorandum, funding agreement and, to a certain extent, the scheme of delegation.
The main responsibilities are:

Set the strategic direction of the Trust

Hold senior school leadership to account

Oversee the Trust’s financial performance
Directors are legally responsible and accountable for all statutory functions, for the performance of all academies within the trust, and must ensure that the aforementioned scheme of delegation maintains robust internal controls.
